1. Agreement to Terms
By accessing or using Adapt Digital Partners’ website and services, you agree to these Terms & Conditions. If you do not agree, please discontinue use immediately.

2. Services Offered
Adapt Digital Partners, LLC provides website design, development, hosting management, SEO, and related digital services (“Services”). Specific deliverables, timelines, and fees will be detailed in a separate Service Agreement or invoice.

3. Client Obligations
You agree to provide any content, feedback, and access credentials in a timely manner. Delays caused by incomplete client materials may affect delivery schedules and may incur additional fees.

4. Payment & Invoicing
Invoices are payable upon receipt or per the schedule outlined in your Service Agreement. Late payments may incur a [late fee percentage]% monthly surcharge. All fees exclude taxes, which are the client’s responsibility.

5. Intellectual Property

• Client-Provided Materials: You retain ownership of all content you supply.

• Work Product: Upon full payment, Adapt Digital Partners transfers to you all rights to the final website design, code, and graphics created specifically for your project. We may retain non-commercial rights to use work samples for our portfolio.

6. Refunds & Cancellations
Our Refund & Cancellation Policy applies. You may cancel within 30 days for a full refund (subject to non-refundable items). After 30 days, prepaid fees are non-refundable, although ongoing services may be terminated at any time.

7. Warranty & Disclaimers
We warrant that Services will be performed professionally. Except as expressly stated, all services and deliverables are provided “as is” without further warranty. We do not guarantee specific search-engine rankings or uninterrupted uptime.

8. Limitation of Liability
To the fullest extent permitted by law, Adapt Digital Partners’ total liability for any claim arising from our Services shall not exceed the total fees paid by you for the project.

9. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the project. This obligation survives termination of services.

10. Modifications
We may update these Terms at any time. Material changes will be communicated via email or posted on our website. Continued use after changes constitutes acceptance.

11. Governing Law
These Terms are governed by the laws of the State of Oklahoma, without regard to conflict-of-law principles.
